1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of www.backdropsource.com (the “Site”) and any purchase you make through it. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Information about how we collect, use, and disclose personal information is set out separately in our Privacy Policy, which is incorporated into these Terms by reference. These Terms address the legal and commercial conditions of using the Site and purchasing products; they do not restate our data practices.

 

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order on the Site. By placing an order, you represent that you meet this requirement.

 

3. Orders, Pricing, and Payment

• All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or product unavailability.

• Prices are listed in U.S. dollars and are subject to change without notice. We make reasonable efforts to ensure pricing accuracy, but if a pricing or typographical error occurs, we may cancel the affected order and will notify you.

• Payments are processed through PayPal and/or other supported payment processors. By submitting payment, you agree to that processor's terms and conditions. We do not store full payment card numbers.

• Custom and made-to-order products (including custom-printed backdrops) may be non-refundable once production has begun, except as required by law or stated in our Returns Policy.

 

4. Shipping and International Orders

We work with third-party shipping and courier partners, including international carriers, to fulfill orders. Delivery timeframes are estimates only. Customs duties, import taxes, and clearance delays for international shipments are the responsibility of the recipient unless otherwise stated at checkout.

 

5. Communications

By placing an order or submitting an inquiry (via our contact forms, phone, chat, or social media), you agree to receive order- and service-related communications from us. Marketing communications (email or SMS) are governed by your opt-in preferences and by our Privacy Policy and Mobile Terms of Service, and you may opt out at any time as described there.

Calls to or from our customer service team may be recorded for quality assurance and training purposes. Where required by applicable law, we will provide notice of call recording at the start of the call.

 

6. Third-Party Services

The Site relies on third-party service providers to operate, including:

• Shopify — our e-commerce platform, which stores order and account data. Use of the Site is also subject to Shopify's Terms of Service

• PayPal — payment processing, subject to PayPal's User Agreement

• Tawk.to — live chat support, subject to Tawk.to's Terms of Service

• Signifyd — fraud screening for online payments, subject to Signifyd's terms as presented at checkout.

Your use of these integrated services is subject to each provider's own terms, in addition to these Terms.

 

7. Intellectual Property

All content on the Site — including text, graphics, logos, product photography, and design — is owned by or licensed to Backdropsource Inc. and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

 

8. User Conduct

You agree not to use the Site to: violate any applicable law; infringe the intellectual property or privacy rights of others; transmit malicious code; or attempt to gain unauthorized access to our systems or other users' accounts.

 

9. Disclaimer of Warranties

The Site and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent such warranties cannot be disclaimed under applicable law.

 

10. Limitation of Liability

To the maximum extent permitted by law, Backdropsource Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Site or products purchased through it. Our total liability for any claim arising from these Terms or your purchase will not exceed the amount you paid for the product giving rise to the claim.

 

11. Indemnification

You agree to indemnify and hold harmless Backdropsource Inc., its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

 

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada, unless otherwise required by applicable consumer protection law.

 

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

 

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
